Contracting party: GeoSummit AI LLC, a Nevada limited liability company (“GeoSummit”, “we”, “us”, or “our”)

These Terms of Service (“Terms”) govern access to the GeoSummit AI LLC website at https://geosummit.ai (the “Site”), use of free checks, free-beta or paid audit services, white papers and related materials, optional voice support when enabled, and use of deliverables we provide. By accessing the Site, submitting an audit request, downloading materials, or using deliverables, you agree to these Terms.

Plain English. We provide checklist-style website visibility audits. Free checks do not require payment. Scores are readiness scores—not promises of rankings, leads, Maps placement, or AI citations. You own your business data; you license us to crawl the public URLs you submit so we can run the audit.

1. Agreement and acceptance

You accept these Terms by: (a) using the Site; (b) submitting a contact form, research/RFI form, or audit request (including free checks and free beta at audit.geosummit.ai when enabled); (c) paying for an order if checkout is offered after free beta; (d) downloading white papers or other materials; or (e) downloading or using audit deliverables. If you accept on behalf of a business, you represent that you have authority to bind that business. Electronic acceptance is effective under the Nevada Uniform Electronic Transactions Act (NRS Chapter 719).

If you do not agree, do not use the Site or Services. For questions before using the Services, contact contact@geosummit.ai.

2. Definitions

• “Customer” — the individual or entity that requests, orders, or uses the Services.
• “Customer Data” — URLs, business names, addresses, phone numbers, industry codes, messages, and other information you submit for an audit or related request.
• “Deliverables” — free top-fix results, PDF audit reports, HTML implementation guides, AI implementation briefs, implementation hub files, and related ZIP package contents we generate for your audit request or order.
• “Order” — a request for Services accepted by us, including tier selection (e.g., free check, Easy Pack, Full package) and any written statement of work.
• “Services” — automated website visibility assessments, competitor benchmarking where applicable, export of Deliverables, and related Site features using methodology version 0.4.7 (or the methodology version stamped on your run).
• “Site” — https://geosummit.ai and related pages operated by GeoSummit AI LLC, including marketing pages that may temporarily be password-gated or soft-launched.
• “Audit Host” — audit.geosummit.ai and successor hosts we operate for free or paid audit runs.

3. Eligibility

You must be at least 18 years old and located where use of the Services is lawful. You may use the Services only for legitimate business purposes and in compliance with applicable law, including Nevada trade-practice standards under NRS Chapter 598 where they apply to your conduct. The Services are offered primarily to businesses in the United States and its territories.

4. Services description

GeoSummit AI LLC provides GeoSummit.ai Services: structured website visibility assessments (GEO/AEO readiness checklists), competitor benchmarking where applicable, and export of Deliverables appropriate to your tier. Audits are produced by an automated pipeline that crawls public URLs you submit, applies documented sector-weighted scoring rules, runs quality checks where the tier includes them, and delivers version-stamped Deliverables. Methodology and content versions are disclosed in deliverable footers and on our Methodology page.

Typical product ladder (subject to free beta and checkout availability):

• Free check — top easy fixes / free-shaped results when we can open your public URL; no payment required; email not required for the default in-browser path.
• Easy Pack — list price $149 (when paid checkout is open) for deeper DIY fix materials as described at purchase.
• Full package — list price $499 (when paid checkout is open) for the complete kit described at purchase (e.g., scorecard, ordered fix guide, download, AI brief).

Service levels, turnaround, and included features depend on your Order tier and any statement of work. During free beta, paid checkout may be closed even if list prices are shown. We may improve the audit engine, scoring rules, or deliverable format over time; version stamps identify the rules applied to your specific run.

Multipage modeling or dogfood packs are not free checks. Denser multipage scores used in case studies or internal dogfood are not a promise that a free Top-3 or free check will match those figures.

No account required. The default free path does not require creating a passworded customer account on the Site. You are responsible for safeguarding any download links or email inboxes you use to receive Deliverables.

5. Free checks and free beta

Free checks and free-beta features are provided at no charge, may be rate-limited, modified, throttled, or discontinued at any time, and may return incomplete results when we cannot fully crawl your site. Free materials are checklist-readiness aids only. They are not a guarantee of leads, rankings, Maps placement, AI citations, or revenue.

Optional free-pack email delivery, when enabled, is described in the Privacy Policy and Section 14 below (including product and marketing communications when you use the Services with a contact email).

6. No guarantees; no professional advice

Audits measure on-page and structural signals aligned to documented search and AI visibility practices. We do not guarantee specific search rankings, AI citation placement, Google Business Profile or Maps outcomes, traffic, leads, conversions, or revenue. Implementation quality, competition, third-party platform policies, and incomplete public data affect results.

Deliverables are diagnostic and educational. They are not legal, tax, accounting, insurance, medical, or other regulated professional advice. Scores and recommendations do not constitute a promise of performance. You are responsible for evaluating fixes before applying them to your website or campaigns. Optional voice support is product assistance only and is not professional advice.

7. Crawl authorization and incomplete results

By submitting a URL, you represent and warrant that you have authority to authorize us (and our processors) to fetch and analyze publicly available content at that URL and any related public pages reasonably needed for the selected product path (including competitor URLs you identify or that the product discovers for benchmarking where enabled).

You must not submit private, authenticated, or non-public systems, or URLs you lack rights to scan. We do not bypass paywalls, logins, or security controls to access non-public content.

Bot protection, robots rules, JavaScript-heavy shells, hosting outages, geographic blocks, or malformed pages may limit what we can read. In those cases we may return limited guidance, partial scores, or a clear statement that we could not complete a full scorecard. Incomplete results are not a material failure of paid delivery when caused by site inaccessibility outside our reasonable control, but we will not invent a full scorecard when we cannot open the site.

8. Orders, fees, and payment

Published list prices (for example, Easy Pack $149 and Full package $499) are subject to confirmation at checkout or in your Order and may change. Prices are in U.S. dollars unless stated otherwise. Free checks do not require payment. You agree to pay all fees, applicable taxes, and payment-processing charges for paid Orders.

Payment may be processed through Squarespace Commerce or another processor we designate. You authorize us and our processors to charge your selected payment method. If payment fails or is reversed, we may suspend delivery until payment is resolved. You agree to cooperate with reasonable fraud and chargeback investigations.

During free beta, paid products may be advertised as coming soon. Displaying a list price does not guarantee that checkout is open or that a particular tier is available for purchase on a given date.

9. Refunds and cancellations

Because Deliverables are digital goods generated on demand, all paid sales are final once generation of your Deliverables has begun or completed, except where required by applicable law or where we materially fail to deliver the paid Services you purchased — meaning we do not make the Deliverables described in your Order available to you (for example, no PDF report or HTML implementation guide within forty-eight (48) hours of confirmed payment, or within the turnaround period stated in your Order or statement of work, if longer), when we can open the submitted public URL under ordinary conditions.

Delivery failure is not a performance guarantee. Dissatisfaction with audit scores, modeled lift projections, competitor comparisons, or recommendations is not a material failure to deliver; see Section 6. Inability to crawl a site you submit that is blocked, offline, or non-public is not, by itself, a refund event for free checks; for paid Orders we will work with you in good faith to re-run against an accessible URL or as stated in your Order.

Free checks and free-beta downloads have no purchase price; no monetary refund applies. To request review of a paid delivery failure, contact contact@geosummit.ai within fourteen (14) days of purchase with your order details. Remedies may include re-run of the audit or a refund at our discretion, subject to the liability cap in Section 16 for that Order. Nothing in this section limits rights that cannot be waived under Nevada law.

10. Acceptable use

You agree not to:

• Submit URLs or Customer Data you lack authority to scan, copy, or analyze.
• Use the Services to violate law, infringe intellectual property, or harass third parties.
• Reverse engineer, scrape, bulk-probe, or load-test the audit engine or Audit Host except as expressly permitted in writing.
• Circumvent rate limits, security controls, or access restrictions on the Site or Audit Host.
• Resell, sublicense, or publicly redistribute the audit engine, methodology, or raw scoring logic without written permission.
• Use free checks primarily to harvest unlimited competitor intelligence in a way that degrades service for others (fair-use / rate limits apply).
• Upload malware, attempt unauthorized access, or interfere with automated delivery systems.
• Misrepresent scores or Deliverables as guarantees of rankings, citations, or revenue.

11. Customer responsibilities

• Provide accurate business information (name, address, phone, URLs, and industry type) to the extent you supply them.
• Ensure you have authority to authorize crawls of submitted URLs and any competitor URLs you designate.
• Back up and duplicate CMS pages before implementing recommended fixes.
• Implement recommended fixes at your own risk; test in staging when available; review legal/compliance implications for regulated industries.
• Maintain the security of accounts, inboxes, devices, and payment methods used for Orders or downloads.
• If you paste Deliverables (including AI briefs) into third-party AI tools, review those tools’ terms and do not include secrets you do not wish those providers to process.

12. Customer Data and license

As between you and us, you retain ownership of Customer Data you submit. You grant GeoSummit AI LLC a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data and public crawl content solely to provide, secure, debug, and improve the Services (including quality assurance and abuse prevention), and as otherwise described in the Privacy Policy.

You represent that Customer Data and submitted URLs do not violate law or third-party rights. You are responsible for notices to individuals whose personal information appears on public pages you ask us to crawl, to the extent required by law.

13. Intellectual property

We retain all right, title, and interest in the Site, Audit Host, audit engine, scoring methodology, templates, trademarks, white papers, documentation, and software, including methodology version 0.4.7 and later versions. No ownership transfers except as expressly stated.

Subject to these Terms and your Order, we grant you a limited, non-exclusive, non-transferable license to use Deliverables for your internal business purposes. You may share Deliverables with your employees, contractors, and professional advisors who need them to implement fixes, under confidentiality obligations no less protective than these Terms. Redistribution of the audit engine, methodology, bulk scoring output, or white papers as a competing product requires our prior written consent.

Feedback. If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or attribution.

14. Privacy; communications; free pack email; voice support

Our collection and use of personal information is described in our Privacy Policy, incorporated by reference. By using the Services, you consent to those practices to the extent permitted by law.

Product and marketing communications. By using the Services (including free checks, free pack or sample-pack email, white-paper gates, paid products, research/RFI forms, or other contact paths), you agree that GeoSummit AI LLC may send you product updates, educational content, offers, and related marketing about our Services, using contact details you provide. We do not sell your email to third parties for their independent advertising. You may unsubscribe from marketing messages as described in the Privacy Policy; we may still send transactional or delivery notices needed to fulfill a request you made.

Free pack email. If you request a free email pack, you agree that we may process your email address to deliver that pack and for product and marketing communications as described above and in the Privacy Policy free pack section. Free packs are checklist-readiness materials only and are not a guarantee of leads, rankings, Maps placement, or AI citations. Free pack delivery is subject to fair-use rate limits.

Optional voice support. When enabled, Talk to support uses third-party voice agent processing as described in the Privacy Policy. Voice support is optional; email and phone remain available.

15. Confidentiality

Each party may receive non-public business information from the other. The receiving party will use reasonable care to protect such information and use it only to perform under these Terms, except for information that is public, independently developed, or rightfully received from a third party without restriction. Deliverables generated for you are your confidential information, except for our pre-existing templates, methodology, and software.

16. Disclaimer of warranties

Some jurisdictions do not allow certain disclaimers; in those cases, disclaimers apply to the maximum extent permitted.

17. Limitation of liability

Nothing in these Terms excludes liability that cannot be limited under applicable law, including fraud or willful misconduct.

18. Indemnification

You will defend, indemnify, and hold harmless GeoSummit AI LLC and its members, managers, officers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your Customer Data or URLs submitted without authority; (b) your implementation of fix-guide or AI-brief recommendations; (c) your violation of these Terms or applicable law; (d) your misuse of Deliverables; or (e) claims by third parties whose information appeared on public pages you authorized us to crawl.

19. Suspension and termination

We may suspend or terminate access to the Site, Audit Host, or Services immediately if we reasonably believe you violated these Terms, pose a security or abuse risk, fail to pay amounts due, or if required by law. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, liability limits, indemnity, and dispute resolution) survive termination.

20. Dispute resolution and arbitration

Informal resolution. Before starting arbitration or court action (except small claims or injunctive relief below), the party raising a dispute will send written notice to contact@geosummit.ai describing the claim and desired remedy. The parties will attempt good-faith resolution for thirty (30) days.

Opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice to GeoSummit AI LLC at 9436 W. Lake Mead Blvd Suite 5 PMB 1104, Las Vegas, NV 89134, United States, Attention: Legal Notices, with your name, email, and a clear statement that you opt out of arbitration. Opt-out does not affect other Terms.

Exceptions. Either party may bring an individual action in small-claims court if the claim qualifies and remains individual. Either party may seek temporary or preliminary injunctive relief in state or federal courts located in Clark County, Nevada to protect intellectual property or prevent unauthorized use, pending arbitration.

21. Governing law

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law principles that would apply another jurisdiction’s law.

22. Exclusive jurisdiction for court matters

For matters not subject to arbitration (including enforcement of an arbitration award and injunctive relief described above), you and GeoSummit AI LLC consent to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada, and waive any objection to venue in those courts.

23. Export controls and sanctions

You may not use the Services if you are located in a country or region subject to comprehensive U.S. sanctions, or if you are on a U.S. government restricted-party list. You agree to comply with applicable export and sanctions laws.

24. Force majeure

We are not liable for delay or failure to perform due to events beyond our reasonable control, including internet outages, hosting or platform failures, third-party API changes, bot-blocking by third-party sites, natural disasters, labor disputes, or government actions.

25. Assignment

We may assign these Terms or an Order in connection with a merger, acquisition, or sale of assets. You may not assign without our prior written consent, except to a successor that assumes your obligations in a merger or sale of substantially all assets.

26. Severability; waiver

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. If the class-action waiver is found unenforceable, the arbitration agreement does not apply to that claim and must be severed; other disputes remain subject to arbitration. Failure to enforce a provision is not a waiver of future enforcement.

27. Entire agreement

These Terms, your Order, any statement of work, and the Privacy Policy constitute the entire agreement regarding the Services and supersede prior discussions. If an Order conflicts with these Terms, the Order controls only for that engagement. Marketing copy, case studies, and self-audit narratives are illustrative and do not amend these Terms unless expressly incorporated in an Order.

28. Changes to these Terms

We may update these Terms by posting a revised version on the Site with an updated “Last updated” date and terms version. Material changes apply to new Orders and new free uses after posting. For paid Orders already in progress, the Terms in effect at payment apply unless we notify you otherwise and you accept the change.
